Mr. Emerson has worked in the investment community since 1989. Mr. Emerson has worked with several publically traded companies in the resource and high technology sectors. His roles have included senior management positions and directorships responsible in areas of finance, business development, strategic planning and corporate restructuring. Mr. Emerson has also listed a number of companies on the Toronto Stock Exchange and as such has extensive experience dealing with the financial, regulatory, legal and accounting issues that are relevant in the investment community.

Mr. DeMare has been a director and officer of many publicly listed companies in the resource sector since 1986, Mr. Demare is the principal of Chase Management Ltd., which provides accounting, management, securities regulatory compliance and corporate secretarial services and is a member in good standing of the Chartered Professional Accountants British Columbia.

Mr. Henstridge is a self-employed professional geologist and holds a Bachelor of Science (Honours) degree from the University of Adelaide in Australia and professional designations from each of the Australasian Institute of Mining and Metallurgy, the Australian Institute of Geoscientists and the Geological Society of Australia. Mr. Henstridge brings over 40 years of experience in the mining industry including 20 years in managing public-listed companies. Mr. Henstridge is a director and member of various audit, compensation, corporate governance and nominating committees of other public-listed mineral exploration companies.

Mr. Lim holds a Bachelor of Commerce degree from the University of British Columbia and is a member in good standing of the Chartered Professional Accountants British Columbia. Since 1991, Mr. Lim has been employed by Chase Management Ltd. as Controller. Mr. Lim serves as officer and/or director of other publicly-listed company.

Mr. Johnston obtained a Bachelor of Commerce degree in 1976 from the University of British Columbia and qualified as a Chartered Accountant in 1979. Mr. Johnston retired in 2011 from Pricewaterhouse Coopers LLP (PWC), most recently as a partner. Mr. Johnston served in a number of senior leadership roles for the firm, including Canadian Infrastructure & Project Finance Leader, Member of PWC's Canadian Taxation Leadership Group, B.C. Region Advisory Leader and B.C. Region Tax Leader. Mr. Johnston has had a long track record of providing taxation and financial advisory services to businesses in a variety of industries involved with financings in the capital markets, particularly with companies looking to raise capital to expand their businesses. Mr. Johnston has also had extensive experience in advising mining companies throughout his career with PWC. Mr. Johnston is a member of the Canadian Council of Public Private Partnerships, the Canadian Tax Foundation and the Chartered Professional Accountants British Columbia. Mr. Johnston is currently the President and CEO of Adventus Realty Services Inc., a private real estate investment trust.

Mr. Varabioff has been a partner of Axium Law Corporation since January 1, 2004. Mr. Varabioff has over 25 years experience as a business lawyer, providing high-level corporate and commercial law advice to fast-growing companies. His clients are typically public companies who operate internationally and they span a broad range of industries including mining, oil and gas, technology, medical devices, biotechnology and financial services. He is experienced in all legal aspects of corporate organization, development and operation, including private stage structuring and finance, going public transactions such as IPOs, RTOs (reverse takeovers) and QTs (qualifying transactions), stock exchange listings, domestic and international debt and equity financing, mergers and acquisitions including takeover bids, amalgamations, plans of arrangement and share and asset purchases, corporate governance and general corporate and commercial matters.
